1.Acceptance of Terms

By accessing our website or utilizing our MVNO, MVNE, or Payment Gateway services, you agree to be bound by these Terms. If you are using these services on behalf of an organization, you represent that you have the legal authority to bind that entity to these Terms.

2.Scope of Service

Fintech Matrix Limited provides a “Software as a Service” (SaaS) platform offering:
White-Label Payment Systems and Card Processing.
Carrier-Grade Billing Platforms.
MVNO and MVNE Telecom Enablement.

3.White-Label Licensing & Intellectual Property

License Grant: We grant you a non-exclusive, non-transferable, and revocable license to rebrand and use our platform under your own identity.
Ownership: All software, source code, database designs, and proprietary algorithms remain the exclusive intellectual property of Fintech Matrix Limited.
Restrictions: You may not reverse-engineer, decompile, or attempt to extract the source code of our platform.

4.Client Responsibilities

As a partner using our White-Label infrastructure, you are responsible for:
The legality of the products or services you sell.
Complying with all local and international laws, including Anti-Money Laundering (AML) and Know Your Customer (KYC) regulations.
Maintaining the confidentiality of your administrative credentials.

5.Fees and Payments

Bespoke Pricing: Fees are calculated based on your specific volume, integration requirements, and support tier.
Payment Terms: All invoices are payable within the timeframe specified in your Service Level Agreement (SLA).
Late Payments: We reserve the right to suspend platform access if payments are significantly overdue.

6.Limitation of Liability

To the maximum extent permitted by law, Fintech Matrix Limited shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from the use or inability to use our platform. Our total liability is limited to the amount paid by you for the service in the six months preceding the claim.

7. Confidentiality

Both parties agree to keep all business secrets, technical data, and financial information confidential. This obligation extends beyond the termination of the service agreement.

8.Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts in London.
